Acceptance of Terms
By accessing or using FixItForMe AI Incorporated's services, you agree to be bound by these Terms of Service. If you do not agree to these terms, please do not use our platform.
Service Description
FixItForMe AI Incorporated provides AI-powered automation and customer engagement solutions for property managers and contractors. Our services include:
- AI-Powered Automation: 24/7 intelligent customer service, lead qualification, and operational support
- Automated Communication Systems: Multi-channel engagement (phone, SMS, email, web chat) with natural language processing
- Lead Management & CRM Integration: Automated lead scoring, nurturing, and CRM synchronization (Close.io, HubSpot, Salesforce)
- Workflow Automation: Webhook-driven integrations, appointment scheduling, follow-up sequences, and reporting
- Analytics & Insights: Real-time dashboards, conversion tracking, and ROI measurement
AI Agent Interaction Terms
Our AI systems are designed to provide accurate, helpful responses based on trained data and business logic. By using our AI services, you acknowledge and agree that:
- AI-Generated Content: All responses from AI agents are generated by machine learning models and may occasionally contain inaccuracies or require human verification for critical decisions.
- Not Professional Advice: AI agent responses do not constitute professional legal, financial, medical, or technical advice. For critical business decisions, consult qualified professionals.
- Conversation Data: AI interactions are logged for quality assurance, training, and compliance purposes as detailed in our Privacy Policy.
- Human Escalation: You have the right to request human support for complex issues by contacting support@fixitforme.ai.
- Agent Capabilities: AI agents operate within defined parameters. They can schedule appointments, qualify leads, provide information, and execute pre-configured workflows but cannot make unauthorized financial transactions or legal commitments on your behalf.
Service Level Agreement (SLA)
FixItForMe AI Incorporated commits to the following service availability standards:
- Uptime Guarantee: 99% monthly uptime for all AI agent services (excludes scheduled maintenance windows announced 48 hours in advance).
- Response Time: AI agents respond to customer inquiries within 3 seconds for standard queries, 10 seconds for complex analysis requiring external API calls.
- Webhook Delivery: 99.5% successful delivery rate for webhook events to your systems within 30 seconds of trigger events.
- Support Response: Human support responds to critical issues within 4 business hours, non-critical issues within 24 business hours.
- SLA Credits: If uptime falls below 99% in any calendar month (excluding force majeure events), customers on paid plans receive pro-rated service credits equal to 10% of monthly fees per 1% below threshold.
Planned Maintenance: We schedule maintenance during low-traffic hours (typically 2-6 AM EST) and provide 48-hour advance notice via email and dashboard notifications.
Webhook & Integration Disclaimers
Our platform integrates with third-party services via webhooks and APIs. You acknowledge and agree:
- Third-Party Reliability: We are not responsible for downtime, data loss, or errors caused by third-party services (e.g., Close.io, Google Sheets, Zapier, Make.com).
- Webhook Security: You must secure your webhook endpoints with HTTPS and validate webhook signatures. FixItForMe AI is not liable for unauthorized access to improperly secured endpoints.
- Data Transmission: Data transmitted via webhooks is encrypted in transit (TLS 1.2+). You are responsible for configuring your systems to accept and process webhook data securely.
- Retry Policy: Failed webhook deliveries are retried up to 3 times with exponential backoff (1 min, 5 min, 15 min). After 3 failures, events are logged and available via dashboard for manual review.
- Rate Limits: API integrations are subject to rate limits (300 requests/minute for standard plans, 1000 requests/minute for enterprise). Exceeding limits results in temporary throttling.
- API Changes: We provide 90-day advance notice for breaking API changes and maintain backward compatibility for at least one major version.
Agent Availability Commitments
AI agents are designed for 24/7/365 operation with the following availability guarantees:
- Multi-Channel Coverage: AI agents handle incoming communications across phone, SMS, email, and web chat simultaneously without degradation.
- Conversation Continuity: Conversations persist across channels (e.g., start on web chat, continue via SMS) with full context retention for 90 days.
- Business Hours vs. After-Hours: You configure agent behavior for business hours vs. after-hours (e.g., full service 24/7 or lead capture only after hours with next-day follow-up).
- Holiday Coverage: AI agents operate during holidays unless you configure custom holiday schedules. Human support operates on reduced hours during major holidays (details in support portal).
- Scalability: Agents automatically scale to handle traffic spikes (up to 1000 concurrent conversations per agent without performance degradation).
Data Processing Agreements
FixItForMe AI Incorporated processes customer data in compliance with GDPR, CCPA, and other applicable privacy laws:
- Data Controller vs. Processor: You are the data controller for your customers' personal information. FixItForMe AI acts as a data processor, processing data solely per your instructions.
- Data Retention: Conversation data is retained for 90 days (configurable to 30, 60, 180, or 365 days). Lead profile data is retained until you request deletion or your account is terminated.
- Data Subject Rights: We provide tools in your dashboard to fulfill GDPR/CCPA data subject requests (access, rectification, deletion, portability) within 30 days.
- Subprocessors: We use the following subprocessors: Enterprise AI providers (LLM models), Twilio (SMS/voice), SendGrid (email), AWS (infrastructure), Supabase (database). Full subprocessor list available at fixitforme.ai/subprocessors.
- Data Location: Data is stored in AWS US-East-1 (Virginia) data centers with automatic backups to US-West-2 (Oregon). EU customers can request EU data residency (contact support@fixitforme.ai).
- Security Measures: AES-256 encryption at rest, TLS 1.2+ in transit, SOC 2 Type II compliance (audit reports available under NDA), annual penetration testing, 24/7 security monitoring.
- Breach Notification: In the event of a data breach affecting personal information, we notify you within 72 hours and provide detailed incident reports to assist with regulatory notification obligations.
AI Response Liability Limitations
While we strive for accuracy, AI-generated responses have inherent limitations:
- No Warranty of Accuracy: AI agents provide responses based on training data, business rules, and context. We do not warrant that all responses are 100% accurate, complete, or suitable for your specific use case.
- User Responsibility: You are responsible for reviewing AI agent configurations, testing workflows, and monitoring agent performance. Critical communications (e.g., contractual agreements, legal notices) should undergo human review.
- Indemnification: FixItForMe AI is not liable for damages arising from: (a) inaccurate AI responses, (b) customer reliance on AI advice without independent verification, (c) misconfigured agent workflows, or (d) unauthorized use of AI agents by third parties accessing your account.
- Limitation of Damages: Our total liability for any claim arising from AI agent use is limited to the fees paid in the 12 months preceding the claim. We are not liable for indirect, consequential, or punitive damages.
- Quality Assurance: We provide conversation review tools, sentiment analysis, and escalation flags to help you monitor AI agent quality and intervene when needed.
Dispute Resolution Procedures
We are committed to resolving disputes efficiently and fairly:
- Informal Resolution: Before initiating formal proceedings, contact support@fixitforme.ai with a detailed description of your dispute. We commit to good-faith negotiation within 30 days.
- Escalation Path: Unresolved disputes escalate to: (1) Support Manager review (5 business days), (2) VP of Customer Success review (10 business days), (3) Executive team review (15 business days).
- Mediation: If informal resolution fails, both parties agree to mediation administered by the American Arbitration Association (AAA) before pursuing litigation or arbitration. Mediation costs split equally.
- Binding Arbitration: Disputes not resolved via mediation proceed to binding arbitration under AAA Commercial Arbitration Rules. Arbitration occurs in Florida (or mutually agreed location for enterprise customers).
- Class Action Waiver: You agree to resolve disputes individually, waiving the right to participate in class actions, class arbitrations, or representative proceedings.
- Exceptions: Either party may seek injunctive relief in court for intellectual property infringement, unauthorized access, or breach of confidentiality without first pursuing arbitration.
- Governing Law: These terms are governed by the laws of the State of Florida, excluding conflict-of-law principles. Any legal action must be brought in the state or federal courts located in Florida.
Customer Responsibilities
As a customer of FixItForMe AI, you agree to:
- Account Security: Maintain confidentiality of login credentials, API keys, and webhook secrets. You are responsible for all activity under your account.
- Accurate Information: Provide truthful business information, valid contact details, and accurate billing information.
- Compliance: Use AI agents in compliance with applicable laws (TCPA for SMS/calls, CAN-SPAM for emails, GDPR/CCPA for data processing).
- Prohibited Uses: Do not use AI agents for: spam, harassment, illegal activities, impersonation, medical/legal advice, financial advice, or services competitive with FixItForMe AI.
- Agent Configuration: Test and validate AI agent workflows before deploying to production. Monitor agent performance and customer feedback regularly.
- Timely Payment: Pay invoices within 30 days of issue date. Accounts past due 60+ days may be suspended pending payment.
Payment Terms & Pricing
Pricing for FixItForMe AI services varies by partnership model. Traditional subscription terms are detailed below, while Growth Partnership and Property Manager Beta terms are outlined in their respective sections:
- Partnership Models: We offer multiple engagement models including traditional SaaS subscriptions, Growth Partnerships with profit share (see Growth Partnership Model Terms below), and beta programs for property managers (see Property Manager Beta Program Terms below).
- Billing Cycle: For traditional subscriptions, monthly fees are billed on the 1st of each month. Growth Partnerships do not have monthly subscription fees; instead, they include a one-time setup fee and quarterly profit share. Setup fees are one-time charges billed upon onboarding completion.
- Usage Overages: Plans include baseline usage limits. Overage rates are defined in your partnership or subscription agreement.
- Price Changes: We provide 60-day advance notice for price increases. You may cancel within the notice period to avoid new pricing.
- Refund Policy: Setup fees are non-refundable. For traditional subscriptions, monthly fees are non-refundable but can be canceled with 30-day notice (no prorated refunds for partial months). Growth Partnership profit share terms are governed by the Growth Partnership Model Terms section.
- Payment Methods: We accept credit/debit cards (Visa, Mastercard, Amex), ACH bank transfers (enterprise customers), and wire transfers (for qualifying annual contracts).
- Late Fees: Invoices unpaid after 30 days incur a 1.5% monthly late fee (18% APR) or the maximum permitted by law, whichever is less.
- Taxes: Prices exclude sales tax, VAT, GST, and other taxes. You are responsible for applicable taxes based on your jurisdiction.
Growth Partnership Model Terms
FixItForMe AI offers a Growth Partnership model for service business clients. This equity-aligned model differs from traditional SaaS subscriptions:
- Initial Investment: A one-time setup fee based on business complexity and customization requirements. This covers implementation, AI configuration, CRM setup, team training, and deployment. Exact investment is discussed during your discovery call.
- Profit Share: A percentage of your NET profit growth from the partnership start date. If your net profit does not increase, no profit share is owed. Profit share terms are calculated quarterly based on financial documentation you provide. Exact terms are outlined in your partnership agreement.
- Minimum Commitment: Initial partnership term as defined in your agreement. After the initial term, partnerships continue month-to-month with 30-day termination notice.
- Financial Reporting: Partners agree to provide quarterly profit/loss statements for profit share calculation. FixItForMe AI reserves the right to request third-party verification for profit share disputes.
- Exit Terms: Upon partnership termination, you retain all data, CRM configurations, and workflows. AI services are discontinued, and any outstanding profit share is due within 30 days.
- Human + AI Team: Your partnership includes dedicated human support alongside AI capabilities. Response times and support levels are defined in your partnership agreement.
Exit & Termination Provisions
Growth Partnership arrangements may be terminated or restructured under the following conditions, designed to provide both parties with clear exit pathways and protect FixItForMe AI's investment:
- A. Voluntary Exit - Equity Buyback: After an initial lock-in period of 24 months, the Partner may elect to purchase FixItForMe AI's entire 35% equity stake at fair market value, calculated as 1.5x trailing twelve-month gross revenue.
- B. Right of First Refusal on Third-Party Sale: Should the Partner receive a bona fide offer to be acquired by a third party, FixItForMe AI retains the right to match the offer or have its equity stake bought out by the third-party acquirer on proportional terms.
- C. Performance-Based Termination: The partnership is predicated on achieving a minimum annual revenue target (typically $300,000 minimum, as specified in your partnership agreement). Failure to meet this threshold may trigger a performance review and potential restructuring of the agreement terms.
Specific exit terms, including equity percentages and performance thresholds, are detailed in your individual partnership agreement.
Property Manager Beta Program Terms
Property managers may qualify for our free beta program under the following terms:
- Beta Access: Free access to our AI platform for property management operations during the beta period.
- Maintenance Partnership: In exchange for free access, beta participants agree to become exclusive maintenance partners, routing maintenance work through our vetted contractor network.
- Beta Duration: The beta period continues until we launch our commercial property manager offering, at which point participants will have first access to negotiate commercial terms.
- Service Levels: Beta participants receive support on a best-effort basis. No SLA guarantees apply during the beta period.
- Transition to Paid: When the beta ends, participants may continue as paying customers at then-current rates or terminate with 30-day notice.
Intellectual Property
All content, trademarks, and intellectual property on our platform, including our AI systems and automation tools, are owned by FixItForMe AI Incorporated or our licensors.
- License Grant: We grant you a non-exclusive, non-transferable license to use our AI services during your active subscription.
- Your Data: You retain ownership of all customer data, conversation logs, and business information uploaded to our platform. We claim no ownership rights to your data.
- AI Training: Conversation data may be used in anonymized, aggregated form to improve AI models. You can opt out of AI training data usage by contacting support@fixitforme.ai.
- Feedback: Any feedback, suggestions, or ideas you provide become our property and may be used without compensation or attribution.
- Restrictions: You may not reverse-engineer, decompile, or attempt to extract source code from our AI models or platform. You may not rebrand or white-label our services without a separate partnership agreement.
Account Suspension & Termination
Either party may terminate the service relationship under the following conditions:
- Customer Cancellation: You may cancel your subscription with 30-day written notice to support@fixitforme.ai. Service continues through the end of the paid billing period (no prorated refunds).
- Immediate Termination by FixItForMe AI: We may suspend or terminate accounts immediately for: terms of service violations, illegal activity, non-payment after 60 days, abuse of AI systems, security threats, or fraud.
- Notice Period for Non-Critical Violations: For minor violations, we provide 15-day notice and opportunity to cure before account suspension.
- Data Export: Upon termination, you have 30 days to export your data via dashboard or API. After 30 days, data is permanently deleted per our retention policy.
- Post-Termination Obligations: Outstanding invoices remain due. Confidentiality and intellectual property provisions survive termination indefinitely.
Modifications to Terms
FixItForMe AI Incorporated reserves the right to modify these Terms of Service:
- Notice of Changes: Material changes are communicated via email to your account admin 30 days before the effective date. Non-material changes (typos, clarifications) may be posted without advance notice.
- Acceptance: Continued use of our services after the effective date constitutes acceptance of modified terms. If you disagree, cancel your subscription before the effective date.
- Version History: Historical versions of these terms are available at fixitforme.ai/legal/terms-archive.
Force Majeure
Neither party is liable for delays or failures due to events beyond reasonable control, including: natural disasters, war, terrorism, pandemics, government actions, labor disputes, internet outages, third-party infrastructure failures (AWS, AI providers, communications services), or other force majeure events. SLA guarantees are suspended during force majeure events.
Entire Agreement
These Terms of Service, together with your subscription agreement, Privacy Policy, and Data Processing Agreement (DPA), constitute the entire agreement between you and FixItForMe AI Incorporated. These terms supersede all prior agreements, proposals, or communications.
